General Terms and Conditions – EcoonLiving

Article 1: Scope and Amendments

What it means: These are the official rules for using EcoonLiving. By using our app/site, you agree to these rules and Vietnamese laws. We can update these rules, and we will notify you when we do.

1.1. Scope

These General Terms and Conditions ("GTC") govern the use of the platform ("Platform") provided by Ecoon Agency (operating as EcoonLiving) through its websites (www.ecoon.vn) and mobile applications. Ecoon Agency is established and operating under the laws of Vietnam.

1.2. Definitions

  • Booking: An agreement confirmed by the payment of the first installment and applicable fees.
  • Platform: The EcoonLiving website and app.
  • Provider: (Also referred to as "Landlord" or "Host") Users listing accommodation for rent.
  • Tenant: Users renting accommodation.
  • Service Fee: Fees charged by EcoonLiving to the Tenant or Provider for the use of the Platform.

1.3. User Acceptance

By using the Platform, Users (both Providers and Tenants) agree to the validity of these GTC.

1.4. Compliance with Vietnamese Law

By using our services, Users confirm that they comply with the laws of the Socialist Republic of Vietnam, particularly regarding housing, temporary residence registration, and real estate business.

1.5. Amendments

EcoonLiving reserves the right to amend these GTC. Amendments become valid seven (7) days after notification via email or Platform announcement. Continued use implies acceptance.

Article 2: Platform Role and Responsibilities

What it means: We help you find a home or a tenant, but we don't own the houses. The lease is signed directly between the Tenant and the Landlord. Landlords must follow the law, including registering the tenant's residence with the local police.

2.1. Platform Purpose

EcoonLiving acts as an E-commerce Trading Floor (Sàn giao dịch thương mại điện tử) facilitating connections between Providers and Tenants. We do not own, manage, or inspect the Accommodations directly unless explicitly stated under a specific management service.

2.2. Lease Contracts

Leases are exclusively between the Provider and the Tenant. EcoonLiving is not a party to the lease. We recommend using a written contract compliant with the Law on Housing 2014 (and 2023 amendments).

2.3. Provider Obligations (Legal)

Providers must ensure:

  • They have the legal right to lease or sublease the property (Ownership Certificate or Power of Attorney).
  • The accommodation meets safety and hygiene standards.
  • Mandatory Residence Registration: The Provider is legally obligated to perform Temporary Residence Registration (Đăng ký tạm trú) for the Tenant with the local police as per the Law on Residence.

2.4. Content Responsibility

EcoonLiving does not guarantee the accuracy of user-generated content. Providers are responsible for the truthfulness of their listings. Misleading listings may result in penalties of 5,000,000 VND per violation or account suspension.

Article 3: Registration and Identity

What it means: You must provide real information. You cannot use a fake name. We will verify who you are to keep the platform safe.

3.1. Eligibility

Registration is available to natural persons (aged 18+ with full civil act capacity) and legal entities established under Vietnamese law.

3.2. Real Name Policy

In compliance with the Law on Cybersecurity, Users must provide accurate information matching their government-issued ID (CCCD/Passport). Fake accounts are strictly prohibited.

3.3. Account Security

Users are responsible for their login credentials. EcoonLiving is not liable for damages resulting from shared passwords.

Article 4: User Conduct

What it means: Don't post fake photos or illegal content. Landlords must honor bookings. You cannot bypass EcoonLiving to avoid fees once you've connected here.

4.1. Prohibited Content

Users must not post content that is:

  • Contrary to the laws, culture, and fine customs of Vietnam.
  • Political, reactionary, or superstitious in nature.
  • Fraudulent or misleading regarding the property condition.

4.2. Accuracy

Providers must provide authentic photos. If a Tenant moves in and finds the property significantly different (e.g., no window when one was promised), the Provider must resolve this or face penalties.

4.3. Prohibition of Circumvention

Users are prohibited from using the Platform to find a match and then conducting the transaction offline to avoid Service Fees ("Circumvention").

Penalty: Users found circumventing may be fined an amount equal to one month's rent or 25,000,000 VND, whichever is higher, and permanently banned.

4.4. Sanctions

Users must not be on any international or Vietnamese government prohibited lists (e.g., money laundering watchlists).

Article 5: Booking Service & Taxes

What it means: We hold your first payment securely. We release it to the Landlord 48 hours after you move in. Landlords are responsible for their own taxes.

5.1. Secure Booking

To prevent scams, Tenants pay the first installment + Service Fee through EcoonLiving's secure gateway (integrated with licensed payment intermediaries like VNPay/MoMo/Banking).

  • Funds Holding: We hold the rent in a separate account until 48 hours after the scheduled move-in.
  • Payout: If no complaint is filed by the Tenant within 48 hours, funds are released to the Provider.

5.2. Currency

All listings and transactions on EcoonLiving generally display and process in Vietnam Dong (VND) in compliance with the Regulations on Foreign Exchange Control, unless a specific exemption applies for international cards.

5.3. Tax Obligations (Tax Administration Law)

  • Providers: Are solely responsible for declaring and paying Personal Income Tax (PIT) and VAT on rental income if their total revenue exceeds 100 million VND/year, in accordance with Circular 40/2021/TT-BTC.
  • Platform Reporting: In compliance with Decree 91/2022/ND-CP, EcoonLiving is required to provide information on sellers/landlords and their revenue to the General Department of Taxation upon request.

5.4. No Price Changes

Once a Booking Request is sent, the Provider cannot increase the price.

Article 6: Security Deposit

What it means: Deposits are standard in Vietnam (usually 1 month). This money protects the landlord against damage.

6.1. Collection

Providers may require a Security Deposit (Tiền cọc). This amount must be clearly stated in the listing.

6.2. Handling

Unless EcoonLiving offers a specific "Deposit Holding Service," the Security Deposit is usually paid directly from Tenant to Landlord upon signing the lease.

6.3. Refund

The Provider is obligated by the Civil Code to return the deposit at the end of the lease, minus legitimate deductions for damages or unpaid bills. Unjustified withholding of deposits may be subject to legal action in Vietnamese courts.

Article 7: Cancellation

What it means: We have strict and flexible policies. If the landlord cancels or the room doesn't exist, you get a refund. If you just change your mind, you might lose the fee.

7.1. Tenant Cancellation

  • 48-Hour Guarantee: If the Tenant arrives and the property is materially different from the photos, unsafe, or unavailable, they must report it to EcoonLiving within 48 hours of the move-in date.
  • Result: EcoonLiving will investigate. If valid, the Tenant receives a full refund of the Rent and Service Fee.
  • Change of Mind: If a Tenant cancels for personal reasons, the Service Fee is non-refundable. The Rent refund depends on the cancellation policy selected by the Provider (Strict vs. Flexible).

7.2. Provider Cancellation

If a Provider cancels a confirmed booking, the Tenant receives a 100% refund.

Penalty: The Provider may be charged a cancellation fee and have their search ranking lowered.

Article 8: Disputes and Law

What it means: If you fight, try to talk it out. If that fails, EcoonLiving helps. If that fails, we go to court in Vietnam.

8.1. Mediation

In the event of a dispute, EcoonLiving will act as a mediator based on the evidence provided (photos, chat logs). Our decision regarding the money held by EcoonLiving (the first month's rent) is final regarding our payout process.

8.2. Governing Law

These Terms are governed by the Laws of the Socialist Republic of Vietnam.

8.3. Jurisdiction

Any dispute arising out of or in connection with this agreement shall be resolved by the competent People's Court where Ecoon Agency is headquartered (e.g., Hanoi or Ho Chi Minh City).

Article 9: Data Protection (Decree 13)

What it means: We respect your data. We only share it when necessary (like with the landlord or the tax office).

9.1. Compliance

EcoonLiving processes personal data in accordance with Decree No. 13/2023/ND-CP on Personal Data Protection.

9.2. Consent

By using the Platform, you consent to the processing of your data for the purpose of rental transactions.

9.3. Third Parties

We do not sell data. Data is shared with:

  • The counter-party (Landlord/Tenant) to facilitate the lease.
  • Payment intermediaries to process money.
  • State Authorities (Tax, Police) when required by law.

Article 10: Force Majeure

What it means: We aren't responsible if things happen that no one can control, like a typhoon or a pandemic lockdown.

10.1. Definition

Force Majeure events include natural disasters, epidemics, wars, or government administrative decisions (e.g., city lockdowns) as defined in Article 156 of the Civil Code 2015.

10.2. Liability

Neither party is liable for failure to perform obligations due to Force Majeure.

Article 11: Contact and Validity

11.1. Severability

If one rule here is found to be illegal by a court, the other rules still stand.

11.2. Language

These Terms may be available in English and Vietnamese. In the event of a discrepancy, the Vietnamese version shall prevail in legal proceedings.
